Terms of service
1. Who you are dealing with
Solvella is supplied by KRUT PTY LTD (ABN 77 694 878 165), a company registered in Queensland, Australia ("we", "us"). These terms apply when you install or use the Solvella add-on for Google Sheets, buy a Solvella Pro licence or use this website. By installing the add-on or buying a licence you agree to them. 2. The add-on
Solvella is a Google Sheets add-on for goal seeking, optimisation and statistical analysis. To use it you need a Google account, and you must also follow Google's terms for Google Workspace and Google Sheets. We may update the add-on to fix problems, keep it working with Google Sheets or improve it.
3. Free and Pro
The free features can be used without charge for as long as we offer them. Pro features need a valid licence key. We grant you a non-exclusive, non-transferable licence to use the add-on, and Pro features while your licence is valid, for your own work.
A Pro licence is for one person and is linked to one Google account at a time. You can move it to another of your accounts from the add-on once every 30 days. Don't share or publish your key. We may deactivate a key that is shared, refunded or charged back, after telling you why by email where we can.
4. Prices and payment
Prices are shown on the pricing page in US dollars. KRUT PTY LTD is registered for GST. Prices for customers in Australia include GST, and customers outside Australia aren't charged Australian GST. Each payment comes with a tax invoice showing our ABN (77 694 878 165). Payments are processed by Stripe, and Stripe's terms apply to the payment itself. We don't receive or store your card details.
- Monthly and yearly plans renew automatically at the end of each period until you cancel. You can cancel at any time; Pro stays active until the end of the paid period. If we change the price of a plan, we will email you at least 30 days before your next renewal at the new price.
- The lifetime licence is a single payment for Pro for as long as we offer Solvella, including updates.
- The semester pass is a single payment for 4 months of Pro and doesn't renew.
5. Refunds
We refund a first purchase of a monthly, yearly or lifetime plan or a semester pass in full if you ask within 14 days of paying. The details are in the refund policy, which forms part of these terms.
6. Australian Consumer Law
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract with us and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If a failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract. Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Australian Consumer Law or any other law that cannot lawfully be excluded or limited. If you live outside Australia, you also keep any consumer rights the law where you live gives you.
7. Check your results
We test the calculations carefully, but no numerical method is right for every problem. Solver can stop at a local optimum or at a time limit, and results depend on how a model is built. Check important results before relying on them, especially for financial, safety, medical, legal or academic decisions. Solvella changes the values in the cells you tell it to change; use Restore Original Values, Undo or Sheets' version history to go back.
8. Acceptable use
Don't attempt to disrupt, overload or gain unauthorised access to the licence server, get around the licence check, or resell the add-on or licence keys.
9. Liability
Subject to section 6, and to the extent permitted by law:
- we are not liable for indirect or consequential loss, or for loss of profits, revenue, data or goodwill;
- where the law lets us limit our liability for a failure to comply with a consumer guarantee, our liability is limited, at our choice, to supplying the services again or paying the cost of having them supplied again; and
- otherwise, our total liability to you is limited to the amount you paid us in the 12 months before the claim.
10. Privacy
Our privacy policy explains what data the add-on and licence server handle.
11. Ending or changing the service
You can stop using Solvella at any time by removing it from Google Sheets. If we decide to stop offering Solvella, we will give at least 60 days' notice on this website and by email to paying customers, and refund the unused part of any yearly plan or semester pass. Lifetime licence holders will receive a final version that works without the licence server, or a pro-rata refund if that isn't possible.
We may change these terms. If a change materially affects paying customers, we will email you at least 30 days before it applies. If you don't agree, you can cancel before then and receive a refund for any unused prepaid period.
12. Governing law
These terms are governed by the laws of Queensland, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Queensland and the courts that may hear appeals from them. This doesn't take away the protection of mandatory consumer laws of the country where you live.
